1. Agreement to Terms
These Terms & Conditions ("Terms") are a binding agreement between you and KB Innovation, LLC, an affiliate of Kingdom Builders ("KB Innovation," "we," "us," or "our"). They govern your access to and use of the KB Innovation website, platform, premium add-ons, and related services (the "Services").
By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Definitions

"You" means the individual using the Services and, where applicable, the organization on whose behalf you act.
•
"Organization" means the church or ministry you represent.
•
"Your Content" means the information, inputs, and materials you submit to the Services.
•
"AI Output" means content generated by the Services' artificial-intelligence features from Your Content.
3. Eligibility and Authority
The Services are available to users located in the United States who are at least 18 years old. If you use the Services on behalf of an Organization, you represent that you are authorized to bind that Organization to these Terms, and "you" includes that Organization.
4. Description of the Services
KB Innovation provides an AI-guided platform to help Organizations assess readiness and plan, run, and sustain generosity and capital campaigns. The Services include:

A free core platform (such as the Church Readiness Assessment, vision positioning, and a campaign strategy guide); and
•
Premium add-ons (such as the full AI content suite, advanced tracking dashboards, giving-platform/ChMS integrations, and related features), offered on a paid basis.
We may change, add, or remove features at any time. Some features depend on third-party services.
5. Accounts
You must provide accurate information when registering and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
6. Premium Subscriptions, Billing, and Refunds

Fees. Premium add-ons are offered for the fees described at the point of purchase. You authorize us and our payment processor to charge your selected payment method.
•
Renewal. Paid subscriptions may automatically renew for successive terms at the then-current rate unless you cancel before the renewal date. You can cancel in your account settings or by contacting us.
•
Changes to pricing. We may change fees on a prospective basis with notice; changes take effect at your next renewal.
•
Refunds. All fees are non-refundable, except where a refund is required by applicable law. Cancelling a subscription stops future renewals but does not entitle you to a refund of fees already paid.
•
Taxes. You are responsible for any applicable taxes other than taxes on our income.
7. AI-Generated Content
The Services use artificial intelligence to generate strategy recommendations and ministry content from Your Content.
•
Nature of AI Output. AI Output is generated automatically and provided "as is." It may be inaccurate, incomplete, or unsuitable for your situation, and similar output may be generated for other users.
•
Your responsibility. You are solely responsible for reviewing, verifying, and approving all AI Output — including for theological soundness, factual and financial accuracy, and legal compliance — before relying on it, publishing it, or sharing it with your congregation or givers.
•
Ownership. As between you and us, you retain ownership of Your Content, and, to the extent permitted by law, you own the AI Output generated from Your Content. You grant us the license described in Section 8 to operate and improve the Services.
•
No professional judgment. AI Output does not constitute professional, financial, legal, tax, or theological advice (see Section 11).
8. Your Content and License
You retain all rights in Your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and use Your Content as necessary to provide, secure, and improve the Services, including processing it through our AI service providers and creating de-identified and aggregated data as described in our Privacy Policy.
You represent that you have the rights necessary to submit Your Content, including any information about your Organization's members, givers, or households, and that doing so does not violate any law or third party's rights.
9. Acceptable Use
You agree not to:

Use the Services for any unlawful, deceptive, or fraudulent purpose;
•
Upload content that infringes others' rights, is defamatory, or violates privacy;
•
Attempt to access accounts, data, or systems you are not authorized to access;
•
Reverse engineer, scrape, overload, or interfere with the Services;
•
Resell or commercially exploit the Services except as expressly permitted;
•
Use the Services to develop a competing product or to misuse our AI features.
10. Intellectual Property
The Services, including our software, frameworks, methodologies (such as the Discern → Design → Deliver methodology, the Five Health Metrics, and e-ROI®), text, graphics, and trademarks, are owned by KB Innovation or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your Organization's internal ministry purposes, subject to these Terms. All rights not expressly granted are reserved.
11. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Not professional advice. KB Innovation is a planning and content platform. It does not provide financial, investment, accounting, tax, legal, or professional fundraising advice, and it is not a substitute for the judgment of qualified professionals or your Organization's leadership. Strategy recommendations, budgets, projections, and readiness scores are informational only. You should obtain independent professional advice before making financial, legal, or organizational decisions.
No guaranteed outcomes. We do not warrant any particular fundraising, financial, participation, or ministry result. Campaign and generosity outcomes depend on many factors outside our control.
Third-party services. We are not responsible for third-party services you connect to or rely on, including giving platforms, ChMS providers, and payment processors.
12. Limitation of Liability
To the maximum extent permitted by law, KB Innovation and its affiliates, ministry partners, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost donations, lost data, or business interruption, arising out of or relating to the Services.
Our total liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the claim, or (b) $100.
Some states do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless KB Innovation and its affiliates, ministry partners, and personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, your violation of these Terms, or your violation of any law or third-party right.
14. Term and Termination
These Terms apply while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, your license to use the Services ends; Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
15. Modifications to the Terms
We may update these Terms from time to time. We will post the updated version with a new "Last Updated" date and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws rules. The state and federal courts located in Jefferson County, Alabama will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction in those courts.
17. General
•
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services.
•
Severability. If any provision is unenforceable, the rest remain in effect.
•
No waiver. Our failure to enforce a provision is not a waiver.
•
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or ministry restructuring.
•
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
•
Notices. We may provide notices to you by email or through the Services.
